The State Duma adopted in the third reading on 21 July 2026 the Federal Law "On Amendments to Article 5 of the Federal Law 'On International Companies and International Foundations' and Certain Legislative Acts of the Russian Federation" (hereinafter referred to as the "Law").

The amendments introduce Article 20¹ into the Law on Foreign Investments, which enables Russian companies to terminate, through judicial proceedings, their obligations to repurchase assets from former foreign owners. Moreover, a Russian company may initiate the termination of the repurchase right irrespective of whether the former owner has made a demand to exercise it.

On 1 July 2026, amendments to Resolution of the Government of the Russian Federation No. 719 of 17 July 2015 “On the Certification of the Manufacture of Russian Industrial Products” (hereinafter “Resolution No. 719”) came into force.

On 26 July 2026, Federal Law No. 266-FZ “On Amending Article 6 of the Law of the Russian Federation ‘On the Protection of Consumer Rights’” (hereinafter referred to as “the Law”) was published. The new rules will come into force on 1 March 2027.

On June 1, 2026, the decision of the Bank of Russia Working Group dated June 1, 2026  No. PRG-43-11/1199 (hereinafter – “Decision”) and Presidential Decree No. 377 dated June 1, 2026 “On Amending Presidential Decree No. 95 of March 5, 2022 ‘On the Temporary Procedure for Fulfilling Obligations to Certain Foreign Creditors’” (hereinafter – “Decree No. 377”) were published, introducing changes to the current counter-sanctions regulation.

On January 20, the State Duma adopted in the first reading Draft Law No. 1082205-8 ("the Draft Law"), which exempts a number of legal entities from the obligation to submit mandatory consolidated financial statements ("CFS"). The Government of the Russian Federation acted as the subject of the right of legislative initiative.

The Draft Law amends Federal Law No. 208-FZ dated 27 July 2010 "On Consolidated Financial Statements" and Federal Law No. 39-FZ dated 22 April 1996 "On the Securities Market."

On 26 January 2026, a draft Resolution of the Government of the Russian Federation was published for public discussion. This resolution approves the rules for marketplace operators to verify information posted in product listings, as well as the procedure for admitting a product listing to be placed on a marketplace ("Rules").

On 28 December 2025, the President of the Russian Federation has signed Federal Law No. 514-FZ "On Amending the Federal Law 'On Limited Liability Companies' and Certain Legislative Acts of the Russian Federation" (hereinafter, the "Law"), which introduces changes to the procedure for paying the actual value of a share in limited liability companies (hereinafter, the "LLC").
