Lidings’ lawyers discussed changes in the Civil Code

Lidings law firm’s experts participated in the event organized by the Ministry of Economic Development of Russia supported by the Legal Insight magazine, initiated to discuss the draft changes in the Civil Code.

Public discussion of the bill that was passed earlier in the first reading on April 27, 2012 and which has already triggered a series of lively debates even during analysis of its concept was held in a roundtable format on August 21st and 23rd, 2012, in Moscow.

The bill developers, respected members of the business community, heads of legal departments of the major Russian companies, partners and lawyers of the national leading law firms were invited to participate in this discussion.

In the course of the event main sections of the expected changes in the CC such as general provisions, including provisions concerning legal entities, transactions, contracts, obligations, property law, intellectual property rights and means of individualization were discussed.

Lidings’ Partner and Head of banking and finance practice Dmitry Gravin jointly with an Associate of the Firm’s Corporate law practice Evgeniy Adamaitis took part in a round table discussion dedicated to corporate law issues on the first day of the event August 21st. Lawyers took their time to discuss the topic of corporate contract as the security method, in the context of the foreign practice, and briefly talked about structuring shareholders’ relations at the level of the parent company.

On the second day of the discussions, on August 23rd, Counsel of Lidings’ Corporate and Real estate and construction practices together with Associate of Corporate law practice Ivan Klyushnikov have joined two round tables devoted to the property law and intellectual rights protection issues. Experts have put up for discussion some issues related to complicating the procedure of real estate rights state  registration and discussed the motives and consequences of the legislators’ decision to keep duality of ownership after entering into force of the new property right - the right to development.

In addition to discussing the abovementioned and other issues Lidings’ lawyers actively participated in discussing the most general and fundamental provisions of the new bill concerning membership in self-regulatory organizations, possibility of exercising the powers of the executive body by several people, peculiarities, advantages and disadvantages of this innovation, as well as the possibility of restructuring simultaneously more than two legal entities, including in the different legal forms.

It is expected that major changes to all parts of the Civil Code are likely to come into force on February 1st or  March 1st, 2013.
